For the Record
I am disheartened by Andrew Baron's decision to spread misinformation. He knows I cannot move to LA without a job...but insists on spinning things this way to shore up his assertion that I am "walking away" from Rocketboom. I did not walk away. I did not accept Andrew's idea of "partnership". I'll explain more a little further down.
It's not true. I'm presently living with my parents in Connecticut until I can get back on my feet.
Below you will find a letter written by Andrew on Sunday, June 25, two days after he pulled the plug on Rocketboom. My responses, which were sent to Andrew on the same day, are in red.
Andrew responded the next day by saying he would not respond to this letter. This then was followed by days of back and forth negotiations, ending yesterday, on Independence Day, with Andrew telling Chuck Olsen, our mediator, that he was taking control of the show and my option was to be the "face" of rocketboom with no involvement beyond that (I might in the future be allow to "produce shows", but not for the time being). Very old media. Considering I have personally written, produced, and hosted Rocketboom and was already a producer on Jet Set, this was totally unacceptable. I don't know any "partnership" that functions like that.
I had hoped to keep things civil, and thought my video message to the Rocketboom viewers was very neutral. I felt the need to communicate with the RB audience, without getting into the nitty-gritty of "he said, she said". Dirty laundry is not attractive. That said, ALL the facts, at this point, based on Andrew's actions, need to be presented.

3. You are an ingenious curator. Your extraction of outstanding content from all resources is, again, unparalleled.
4. You are a superb navigator of the blogosphere. Additionally, I have always entrusted you with the final decisions of the physical design of Rocketboom.
In fact, it saddens me that you have not had the time and/or willingness to significantly participate creatively in Rocketboom for some months now. We've sent you things during the production process, and what we've received back is criticism after the show has already been produced or after it is too late to make changes. Statements like "I'll continue to check my blackberry but please dont wait on me if it starts to slow you down" and "I will have my phone so I can still chime in but dont feel ever wait on me for any answers if I cant respond in time" really don't cut it.
As you know, when I gave you the 49% of Rocketboom I told you that I hoped it would work out and that the reason why I gave you that percentage was so that you would become involved enough to stay with the company.
I have always been and still am intensely involved in Rocketboom.
Since I told you so many times that I would never want to hold you back from moving on to L.A. to pursue your own thing - since you always said this was really your passion well before I met you -we agreed that you would not take the 49% if you were to move away to L.A. on your own.
That is completely incorrect. There was no agreement about forfeiture of the 49%. We together have had a detailed plan for some time in preparation for the move to LA. And please note I was moving to LA on Rocketboom business, not only to "do my own thing". You did say you would never hold me back, and you also made it clear that doing Rocketboom would not be mutually exclusive of pursuing other passions. Our plan was as follows:
5/05 Amanda told Andrew she was serious about moving to LA by 10/05. Andrew agreed and said that was completely reasonable, since current technology allows Rocketboom to be produced from anywhere.
10/05 Amanda and Mario stored their possessions, gave up their apartment and took a sublet in preparation for the move. Andrew was fully aware.
10/05-4/06 Amanda and Mario continued to sublet. The move was repeatedly delayed, long beyond the original "completely reasonable" time frame. Finally, with Andrew's consent, Rocketboom moved forward to actual transition.
4/06 A plan was implemented for Andrew and Mario to co-direct shoots, gradually transitioning Mario to be interim director. A new professional director was to be hired in LA. What actually happened was that Andrew attended shoots infrequently and by 5/06 had stopped attending altogether.
5/21/06 At this time, the term of Amanda and Mario's sublet was up. Andrew had not attended shoots for nearly a month, and there would be no Rocketboom paycheck for June. Nevertheless, production continued by Amanda and Mario at Amanda's parents' home in Connecticut.
6/16/06 Andrew, Mario and Amanda agreed upon a departure date for LA within the next couple of weeks. Within the next few days, June 30th was chosen. Andrew's assistant had a list of possible editors in LA (which was never delivered to Amanda despite numerous requests). Zadi and Steve were excited to have Amanda nearby to better co-produce Rocketboom's project, The Jet Set Show.
6/23/06 Mario received a call from Andrew in essence saying that Mario and Amanda must either move back to New York or Rocketboom was over.
Since you have claimed that you are moving next week, and because you have never suggested a plan for how this move can integrate into Rocketboom, and because you have already said your goodbye, I get the message and will now move on myself the best I can.
Andrew, see our long term and extensive plan described above.
And, as it turns out, I cannot move to LA because our plan was for me to be engaged in, and compensated for, work on Rocketboom there. Since you will no longer allow that, I have no source of income and therefore cannot move.
With regards to tomorrow's show and the future of Rocketboom, I am not sure what I will do, but you will be honored and respected and encouraged. Unfortunately, I have had to write a very similar letter to a supervisor once, about a fellow employee who was, for no apparent reason, trying to turn the whole workcenter against me. I know writing this, and at this point making it public, was not easy for you. Know that despite the difficult people, there are thousands who have not and will not speak here, that support you and will have you in their thoughts.

its possible you need a good lawyer too - looks like andrew is right royally screwing you with his 49% - of what - without you tehre is no revenue and a heap of expenses - you might well end up with 49% of debt

Sad. Tearfully sad to read, because the problem is obvious to me as I read this.
To look back, Andrew recruited you via his Craiglist post, but obviously -- even by his most current words expressed here -- failed to consider how your role would evolve.
When I started "SBS Personalities" I had (and have) this simple rule: "My job is to make you a star." Think about that for 30 seconds. It means that if I place you in a role to present an image, it's not only my job to promote you in that role, but to make sure your needs and desires are catered to.
I took on that idea because I knew four-square that such a relationship materializes anyway once the person in the "image" role becomes a hit.
Andrew forgot -- indeed, didn't know -- that he was placing you in this position. Moreover, and I think this is where he felt he was losing control as your popularity grew. "Rocketboom" became not so much your story, but you, your brother, and your boyfriend as a vehicle and Andrew probably believed your relationship with him was deteriorating to the point where the show was no longer fun for him.
In other words, Andrew may have felt -- I don't know him -- that he was becoming an "appendage" with every moment and with every "ally" you brought into the picture: brother, boyfriend, etc. I can see his point of view, but my approach would have been to really make sure we've got a detailed corporate structure in place, where you're a coporation with stock.
Why?
Because under that umbrella you can distribute stock to brother, boyfriend, etc, and Andrew can still have his 51 percent. But it would cause you to figure out how much stock you -- and Andrew -- were willing to give up to the others. Or just pay them, where they become employees.
See?
Having written this, your relationship can be repaired, if you like. If you like. If you like (again) But what you have to return to is what you like about doing Rocketboom, and each other. Then really hash out the matter of who does what and the real big issue -- starting a company.
Funny. At Vloggercon I told Andrew this is what he needed to do.
I think the two of your are stronger as a team rather than separate. Amanda's you've clearly established a name for yourself and will go far. Andrew's new version of Rocketboom will not be the success it was because it lacks you.
Plus, there's the other problem: how do you, Andrew, regain the confidence and support of sponsors like Earthlink? This spat is public. Everyone of note is seeing it. It will impact the value of your sponsorships, and not in a good way.
In closing, I wish you God's speed. I believe Amanda that you have a singular talent and wit, and business savvy. I certainly see that, and I think all you wanted was to be seen as the great business woman that you are.
That's nothing to be ashamed of.

Amanda, I second what everyone else is saying - that you were really Rocketboom's hook, face and personality. I wouldn't say that RB couldn't survive without you, but it will certainly be different and would likely have to develop a whole new group of viewers to get back to where it was.
You are powerful in this world. I suspect you don't fully appreciate this because of the current situation. I have every confidence that you will land on your feet and that you have learned a lot from being part of RB and will benefit from many aspects of this experience.
In the meantime, I hope you can make it to LA. I have some friends out there at CLC Films. They do more offbeat stuff but I am sure they would love to work with you if they have any projects going. In fact, I think they do have something in the works, if I remember right.
Good luck and keep in touch. This whole thing stinks. But the nice part about stink is that it washes off.

Amanda, there is no Rocketboom without you. I appreciate your transparency, as I'm sure many do, but regardless of what happened, this is still the case.
I don't envy whomever Andrew tries to sub in for your role, since I believe they're going to be met with a backlash the likes of which the Blogosphere has never seen.
If it comes down to a legal issue over who gets the 49%, I'm sure there are more than enough lawyers who are long-time viewers of yours that would be more than eager to help you out.

Don't let all this get you down. Business is a rough place and good people are sometimes put in bad situations. Feelings get hurt too. You are young and talented. I know it is hard to lose something that you valued, created, imagined. Just try to think from the positive side. The meta you lost is not something you are organically attached to or irreplaceable in value. It is just one of your crazy ideas. I am sure you have more of them.

Amanda, as far as I am concerned, RocketBoom does not exist without Amanda Congdon. You are the show, and I think Andrew is dumb to fire you or even consider removing you from the show, regardless of what your decision was. From reading the letter it seems that he's not waning to keep his end of he bargain, and anstead is willing to destroy one of the greatest things ever done on the internet IMO.
I hope you can find a new thing similar to RocketBoom.

I know (as others have said) that you're going to move on to some great new thing ... but its still sad to see this parting of ways when you weren't ready for it.

A classic case is the legendary UCLA basketball coach John Wooden ("The Wizard of Westwood", multiple NCAA championships). He wanted the Univ of Minnesota job, but the UCLA offer came 1st..the rest as they say, is History.
So, LIfe is giant meandering path.."branching tree" of decision-paths. Take the Rocketboom experience..learn from it, & move on. I guarantee you your visibility with RB is almost surely a foot-in-the-door for another opportunity. I get the impression you were being squeezed out of any partnership activity (your Northwestern degree implies you have brains & are capable of other skills other than a pretty face/body), so next time get your requirements in WRITING (a contract).
Why not start your own company, & have majority share? Just look for an enterprising techie guy to handle the Blogging details.

If the 49% is in writing, it seems you have a pretty big stake on whether the brand continues or not.
Essentially his two per cent edge is meaningless since if gives up any of his stake it makes him vulnerable to you aligning with them.
I obviously haven't read the agreement, but it has the potential to be very messy. Don't get screwed over without getting paid.
The cleanest solution would be for all joint properties to cease and for all parties to start new entities/brands.

Amanda, it is to your credit that I (and I assume many others) could not tell by watching RB that all this was going on behind the scenes. Its sad when both a friendship and partnership sour. RB will probably continue on but I don't know if I will watch it, to me (as many have commented) YOU were Rocketboom and you were more than just the "face" of it. Without you it'll be like the Tonight Show going from Carson to Leno - maybe its the same name and format but its lost its heart.
If I hadn't stumbled on a link one day that led me to a snarky sarcastic blonde doing something that resemebled cable access on crack, I would never have made RB one of my daily fixes (and BTY, I am one of those conservative viewers you told John Edwards you were trying to "alienate" - obviously it didn't work). RB may be a commercial brand name among podcasts now but I think Drew will find that YOU were the big draw among those of us who watched.
Needless I doubt you will go unemployed for long (at least I hope not). You've got a built in fanbase of thousands. Just let us know how you're doing...and good luck.

This whole episode sounds like RocketBoom might be ripe for the first behind-the-scenes weblog-based reality TV show!
Episode 1 starts now with this bitter and public fight.. rife with deception lies and reneged promises.
Hire two videographers to chronicle this fight from both sides! We clearly have both the pro and antagonist! Edit it all together in Final Cut and post a new episode every Saturday. Continue to produce the daily RocketBoom posts as usual.
You'll be right up there with Lost and 24!! Sell advertising on the new show, and open RocketBoom SoCal.

I won't address your future because, frankly, anyone who's watched RB knows that you've got a bright one ahead.
What I will address is the contract. Any liquidity provisions hiding in there? If there are no restrictions on your equity and what you do with it, there are a lot of ways to cause... well, karma, for lack of a better phrase, to come back around. :)
And even if you're not interested in the karma angle, it's pretty clear the property is worth vastly less without you than with you. So find a starry-eyed investor to buy your share and put this behind you with some greenbacks in your pocket.

With all do respect, when is the last time Norm McDonald had a real gig? I love Norm. I think he's funny. He's also unemployeed paying the rent doing a few nights here and there at the local improv.
Amanda is not a Norm McDonald. She is much better in terms of her talent and career field.
I have been involved in these type of disputes twice in my career. They never end well. You might actually be surprised at the results this post may yield. It never hurts to put facts in writing while they are fresh on your mind. Nothing of public record has EVER been dismissed by a judge... this would explain Andrews "legally coached advice" (IMHO) to not respond to this from Amanda.
Be sure to check all the user comments on the TWIT appearance regarding Andrew as well (Amanda and everyone else). It was clear to many that he gets "personally injured" when someone disagrees with his point of view- as well as being slightly annoying in general.

It is a very sad situation..Power can go to people's heads..we've seen it over and over again..and I think that is the case here..people just forget what got them to where they are..they become impossible to deal with.
You should use your popularity as leverage..you always wanted to be an actress (or you are an actress) I'm sure some fan of Rocketboom will give you a lead on getting a good agent in L.A. (anybody out there wanna help Amanda out?)

It is, of course, distressing to read and hear about the demise of RB. But I agree with all others here who say that you will land on your feet. This may, ultimately, be a good thing.
You truly were the face of Rocketboom, Amanda. I am another one of those who tended to surf away when the show went to an extended field report that didn't involve you.
You've been responsible for big changes in the media landscape, and you obviously have big ideas of your own. So keep on keeping on!

Don't let him screw you out of what you've worked so hard for. You're the one people watch the show for, not whathisface. 49% is an insult, especially when you see how he abuses the 2% he has on you. I don't know all the details, but I know that you're getting the raw end of this deal.
Hopefully Andrew will realize what an idiot he is, but by then it'll be too late. Seems like this rocket exploded just after takeoff.

Seems to me that your tensions surrounded your plans to move to California. People say one thing but they don't always mean it - he diden't and when you tried to move - he threatened you and you went ahead then he fired you.
I guess there's feeling between you - working relationship feels that have not been resolved - and times like this it's hard to see how it could be resolved.
But I would think - you could just pickup from RocketBoom and make your own show and 75% of the viewers would follow you and dump RocketBoom.

In my experience I have seen many, many thoughtful and dedicated people labor successfully in their work only to be fired or otherwise unjustly ostricized. When one wins an award, the social reinforcement is enormous, and being fired is the opposite. The truth is that neither are based on merit, only power. When you formed Rocketboom LLC there were various articles that will have been included by default in your articles of incorporation. You should review these as these set out your rights in relation to the 49% of Rocketboom's shares. If Andrew continues RB you will continue to own your shares and that gives you various rights - don't ignore them - they may be important to you in the future.

This reminds me of those non sequitur conversations that happen between folks about to have a nervous breakdown and others that still have a solid grip on their minds. Or conversations with co-workers that _know_ they are about to be busted for lying on a resume/report. What the hell was he thinking? Blogs are great; A writer worth her/his salt can get by; audio podcasts are slightly harder because you have to sound like you know the subject of which you speak thoroughly and can carry a discussion (with a good voice). But v-blogs?
Dude (Mr. Baron) - it is all about the prescence; not just the look (putting a substitute pretty face on the show) but the killer combination of wit, charm, intelligence and plain old understanding what the audience is looking for.
Folks, let's make sure that we don't forget this by simply switching our loyalty to the next "anchor" that Rocketboom *hires* (because you are right Amanda, that was certainly not a partnership) . . .unless it is Amanda!

Amanda - based on what you posted above, sounds like Andrew's done 1% of the work for the last month or so, leaving it 99% up to you and Mario. That's 101% unfair.
Hopefully you'll be fairly compensated for your 49%. (I think you should hold on to it, and make sure you benefit from the business you helped create.)
So, for what it's worth, the Netscape offer sounds pretty good. I bet you could bring a lot more "eyeballs" to Netscape.com than what they've got now.

I watched RB for that chance to see Amanda.
I had usually heard all the stories that Amanda was presenting from other sources or read the same articles.
So I was downloading RB for Amanda's presentation, comments, wackiness, familiarity and good looks.
With all due respect to the valuable contributors to RB over the years, there isn't any reason for me to watch RB anymore.
Where Amanda goes... my podcast queue follows. Well, except for, like, the ladies room or some place private like that.

No matter what another poster alleges, you are a celebrity. His narrow definition and perception that "real celebrities have agents that carefully manage their public image. Their personality is carefully packaged for the public's consumption. They become product.", not only does not reflect reality it is a complete logical disconnect.
If every " real celebrity" in this poster's world had an agent (or even a manager); then half of these so-called agents should be fired, given the media's propensity to gain access to celebrity's immoral and unprofessional behaviour.
You will land on your feet and be ultimately successful in your next endeavour and your experience on rocketboom should help you as a personal growth process...

OK, so it's a fact that Amanda is the face of Rocketboom. And she was a co-writer, co-producer as well. But to cut to the chase, it seems as though she and her team were spearheading the entire creative process! So why should she go and work for someone else? I'm sure that she could get backers and start her own show. It has a low start up cost, and if she can stay with her parents long enough that should help with expenses. (I know that sucks, but if its gonna put you on your feet AND in charge of your own destiny, it's a small price to pay.)
Why create revenue that you get a piece of when you could create a work that is yours and you reap the majority benifits as well. Heck, I dont have a lot of money, but I'd invest $500-$1000 in you! And I'm just a viewer! Create a show and sell 30% of it to someone else as a way to cover startup costs.
Anyway, thats my thoughts, Your milage may vary.

First off, I do recall your mentioning moving to L.A. when we met at CES in February. As long as we're on the record.
I don't know about the legal stuff, but RB is not you, and you are not RB. It's something you do, not something you are. Holding on to that idea may not salve any of the pain or quench the bloodlust (I can only imagine). It may permit other options.
You knew you'd step down as frontman for the show at some point, and you'd have handled a transition smoothly and with great charm. Again, I don't know about the legal stuff, but I'd presume that you want your 49% to be worth something a year or two from now, or even right now. What can you do to assure RB's continued growth and profits post-AC? Wishing you a great forensic accountant...

Amanda, your face and your presence are the only reasons why I watch RocketBoom. The stories are interesting, but your presentation is the one thing that pulls it all together.
As of now, rocketboom.com is down, and even if it comes back up, there is no rocketboom without you.
I've heard that weblogs inc. has extended you an open invitation; I'll be thrilled if you take it as I am an avid reader of several of thier sites.
I hope you get resolution out of this. Employment hyjinks aren't always about the things we argue - money, time, benefits etc. - it is about respect and value, and you have not been shown the proper amount.

Amanda, I have watched rocketboom.com from germany on a regular basis. The change taking place has nothing to do with your efforts for RB. Read this speech by Steve Jobs where he describes the feeling of "dots connecting". This is what happens to you. The next "dot" coming in will make the picture look very different.
The fact that this "new girl in town" (JC) is paving its way to the stage so quickly makes me think if this in the end was perhaps a well planned splitup by your 51%-partner.
The fact that he put wrong information on the rocketboom-site about what happened does not make him more trustworthy, too.
You should perhaps try to get some financial independence by working part-time for some big guns from TV or a Hollywood Studio. In the end you have a well established popularity.

I don't know if you actually have experienced it but, when you get to a blog and read something like what you posted you intrinsically feel the need to post a comment, like instinct or something, but when you see that there are 218+ comments about the subject you start to think about how much information can one person handle until she starts ignoring most of what comes in... And I'm not talking about intention here, I'm talking about an extreme point where you start to see patterns, like a carpet... these marron lines here are the guys who sympathize with me, these red lines are the ones that make angry comments against me... etc.
So anyway, to make this tale not to long...the point of this was not only to add me to the percentage of visitors in your web stats that actually leave a comment, but to add me to the (I think) big list of supporting people that have come to this blog... And I can tell you that, even if you see me like another marron line in a pattern, or a red, or yellow one... We, your viewers/ex-viewers, see you like the most beautiful carpet, the one that you value the most, the one that has every bright, crazy, marvellous patterns, the one that you've come to love and place hanged high in a wall, because you don't want to see anyone stepping over it.

I know that this was a stepping stone for you that will enhance your future and I cannot wait to see what develops.
I missed out on seeing Rocketboom but I have read raving review. It is my hope I will not miss that which is to come.
